Terms of work

How a job runs, what is included, and what happens when something changes. These terms apply to work agreed through this site unless a separate written agreement says otherwise.

01What is agreed

A job starts when the scope, the price and the payment terms are confirmed in writing — email or a messenger both count. An estimate produced on this site is an estimate, not an offer: it becomes an agreement when I confirm it.

Anything not written into that scope is not part of it. That is not pedantry — it is the only way a fixed price can stay fixed.

02Payment

Work begins after a prepayment of 50% unless agreed otherwise. The balance is due on delivery, before final files are handed over.

Prices on this site are net of taxes, bank charges and payment-system fees. Whoever sends the money covers the cost of sending it.

A prepayment reserves time in my schedule. If the job is cancelled after it starts, the prepayment covers the work already done and the time held; anything beyond that is returned.

03The four ways to buy

Packages. A defined set of deliverables with analysis, counter-proposals and the rounds named in the package. Source files are included. Rights transfer in full on final payment.

Individual services. The same standard of work bought item by item, with the rounds stated against each item. Source files are included.

Express. One version, made from your reference, with no analysis and no revisions. Final files only — source files are not part of it at any price, and this is the difference the price is built on. A minimum order applies and is shown before anything is chosen.

Mentoring. Teaching, month to month. Nothing made in a session is a deliverable, and no rights in my teaching material pass to you.

04Rounds and revisions

Package and individual-service work includes the rounds named in its description. A round is one consolidated set of comments, not a stream of separate messages.

Express work is one version with no revisions. That is the whole reason it costs what it costs, and it is stated on the pricing page before anything is chosen.

Changes that arrive after a stage has been approved, or that alter the agreed scope, are new work and are quoted as such.

05Timing

Dates are agreed per job and depend on materials arriving and feedback coming back on time. A delay on your side moves the delivery date by at least the same amount.

I work through power cuts and network outages, but I cannot promise a specific hour during one. Where a deadline is genuinely fixed, say so before the job starts and it becomes part of the agreement.

06Rights and files

Rights to the delivered work transfer to you on full payment. Before that they remain mine — this is what makes an unpaid invoice a problem worth solving rather than a loss to absorb.

Source files are included where the offer says so. Express is final files only.

You are responsible for the rights to everything you supply: photographs, text, logos, fonts, references. If a claim arises from material you provided, it is yours to answer.

07What stays mine

Concepts, drafts and options that were not chosen remain mine, along with the working files, scripts, templates and methods used to produce the result. You buy the outcome, not the workshop.

Rights transferred are non-exclusive unless the agreement says otherwise in writing. Exclusivity and any transfer of trademark rights are priced separately, because they are worth something.

Third-party material — fonts, stock images, plugins — is licensed to you directly by its owner. I will name what is used; the licence and its cost are yours.

08Before it goes to production

Check final files before printing, manufacturing or publishing. Approval is your confirmation that the content, spelling, dimensions and specification are correct.

I am not responsible for the cost of a print run or a production batch made from files you approved.

09If payment is late

Work pauses on an overdue invoice, and the delivery date moves by at least the length of the delay. Files delivered before full payment may not be used until it is made.

10Showing the work

I may show completed work in my portfolio and on social channels, and name you as the client. If a job is confidential, say so before it starts and it stays unpublished.

11Mentoring

Mentoring is sold month to month and can be stopped at the end of any paid month. It is teaching, not production: we work on your briefs, and nothing produced in a session is delivered as client work.

12This site

Everything on this site is mine and all rights are reserved: the text in both languages, the pricing structure, the code, the animations, the photographs, and the logo and name David Pello.

You may read it, quote a sentence with a link back, and share the address. You may not copy the text or the code into another site, reproduce the pricing pages, or use any of it to train a model or build a dataset.

Nothing on these pages grants a licence to my work by implication. If you want to use something, ask.

13Law and disputes

These terms are governed by the law of Ukraine, where I work. If something goes wrong, write to me first — almost everything is settled in a conversation, and nothing here prevents you from having one.

14Limits

My liability for any job is limited to what you paid for it. I am not liable for lost profit, lost sales, or consequences downstream of the work — those depend on price, product, market and a dozen things outside my control.

Nothing here limits liability that cannot be limited by law.
